Terms & Conditions
The agreement between you and Seene.

Welcome to Seene, an application (“App”) owned and operated by Seene Limited. By downloading, accessing or using the Seene App and its related services (together, the “Services”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must stop using the Services.
01Acceptance of terms
1.1 Legal agreement
These Terms form a legally binding agreement between you (“user,” “you,” or “your”) and Seene Limited. Using the Services means you accept these Terms in full.
1.2 Modifications
We may revise these Terms from time to time by posting an updated version within the App or by other reasonable means. Where changes are significant we will take reasonable steps to let you know. Your continued use of the Services after changes are posted means you accept the modified Terms.
1.3 Additional agreements
Some features may be subject to additional guidelines or rules, which supplement these Terms. Where there is a conflict, those additional terms apply to that feature.
02Eligibility
2.1 Age requirement
You must be at least 18 years old (or older if required where you live) to use the Services. By using the Services you confirm that you meet this requirement and have the legal capacity to enter into this agreement.
2.2 Phone number and verification
To register you must provide a mobile phone number that you own and control. By signing up you agree to receive service messages from us, including one-time verification codes, by SMS. Your mobile carrier’s standard message and data rates may apply.
2.3 Compliance with laws
You are responsible for ensuring your use of the Services complies with all laws that apply to you.
03User accounts
3.1 Account creation & accuracy
To access most features you must register an account. You agree to provide accurate, current and complete information and to keep it up to date.
3.2 Account confidentiality
You are responsible for keeping your account credentials confidential and for activity that happens under your account. Tell us straight away if you notice unauthorised access or use.
3.3 Termination & suspension
We may suspend or terminate your account where you breach these Terms, or where necessary to protect the Services or other users. Where reasonable and lawful to do so, we will give you notice.
04User content
4.1 Definition
“User Content” means any content or material (including images, photos, text, graphics, audio and video) that you upload, post, transmit or otherwise make available through the Services.
4.2 Licence to Seene
You keep ownership of your User Content. By uploading or posting User Content, you grant Seene Limited a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use, reproduce, distribute, modify, adapt, publicly display, publicly perform, create derivative works from, and otherwise exploit your User Content for any purpose in connection with operating, promoting or improving the Services, now or in the future.
4.3 Your responsibilities
You confirm that you own or have the rights to your User Content, that it does not infringe anyone else’s rights, and that it complies with these Terms and applicable law.
4.4 Removal of content
We may remove or disable access to User Content that we reasonably believe breaches these Terms or is otherwise harmful or objectionable.
4.5 No liability for User Content
We do not control or endorse User Content and are not responsible for content posted by users, to the extent permitted by law.
05Prohibited conduct
You agree that you will not, and will not help others to:
- upload or share content that is unlawful, fraudulent, defamatory, obscene, harassing or otherwise objectionable;
- break any law, or encourage others to;
- infringe anyone’s rights, including intellectual property, privacy or publicity rights;
- impersonate any person or misrepresent your affiliation;
- attempt to gain unauthorised access to the Services or related systems;
- transmit viruses, malware or other harmful code;
- use automated systems to access the Services beyond what a person could reasonably do;
- interfere with the security or integrity of the Services;
- overburden our servers or networks; or
- collect or harvest information about other users without their consent.
06Intellectual property
6.1 Ownership of the Services
All content and materials we provide through the Services (excluding User Content) — including text, graphics, logos, designs, interfaces and software — are owned by or licensed to Seene Limited. You agree not to reproduce, distribute or create derivative works from any part of the Services without our written consent.
6.2 Feedback
If you send us ideas, suggestions or feedback, you agree we may use them without restriction or compensation to you.
07Privacy
We take your privacy seriously. Our Privacy Policy explains how we collect, use and protect your personal information. By using the Services you acknowledge that you have read and understood it.
08Disclaimer of warranties
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, secure or error-free. Nothing in these Terms limits your statutory rights as a consumer.
09Limitation of liability
To the maximum extent permitted by law, Seene Limited and its directors, officers, employees and agents will not be liable for any indirect, incidental, consequential, special or punitive damages, including lost profits, lost data or goodwill.
Our total liability arising out of or related to these Terms or your use of the Services will not exceed the greater of the amount you paid us (if any) in the 12 months before the claim, or £100.
Nothing in these Terms excludes or limits our liability where it would be unlawful to do so — including liability for death or personal injury caused by our negligence, or for fraud. Nothing in these Terms affects your statutory rights as a consumer.
10Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Seene Limited and its officers, directors, employees and agents from claims, liabilities, damages, losses and reasonable legal fees and costs arising out of your use of the Services, your User Content, your breach of these Terms, or your violation of any third-party rights.
11Termination
11.1 By you
You may stop using the Services at any time by deleting the App and discontinuing access.
11.2 By us
We may suspend or terminate your access where you breach these Terms, engage in fraudulent or illegal activity, or where necessary to protect the Services or other users. Where reasonable and lawful, we will give you notice.
11.3 Effect of termination
On termination, your right to use the Services ends. Any provisions that by their nature should survive termination (such as sections 4, 6, 8, 9, 10 and 12) will remain in force.
12Governing law & jurisdiction
12.1 Governing law
These Terms, and any dispute arising out of or related to them or the Services, are governed by the laws of England and Wales.
12.2 Jurisdiction
The courts of England and Wales have jurisdiction over any such dispute. If you are a consumer, nothing in these Terms affects your statutory rights, and you may also be entitled to bring proceedings in the courts of the country where you live.
13General
13.1 Entire agreement
These Terms (together with our Privacy Policy) are the entire agreement between you and Seene Limited about the Services and replace any prior agreements.
13.2 Severability
If any provision is found to be unenforceable, the rest of these Terms remain in effect.
13.3 No waiver
If we do not enforce a right or provision, that is not a waiver of it.
13.4 Assignment
We may assign or transfer these Terms or our rights and obligations, in whole or in part. You may not assign yours without our prior written consent.
13.5 Force majeure
We are not liable for failure or delay caused by events beyond our reasonable control.
